1.1 The name of the Club shall be “Warren Golf & Country Club” and is hereinafter referred to as “The Club”.
2.1 Its place of business shall be at 81 Choa Chu Kang Way, Singapore 688263, or such other address as may subsequently be decided by the Management Committee and approved by the Registrar of Societies.
3.1 The aim of the provide Club shall be to golfing, clubhouse facilities and other forms of recreation and amenities for its members.
4.1 The Management Committee of the Club may appoint a person of distinction who shall be a Singapore Citizen, to be the Patron of the Club.
5.1 The Club's colours and Crest shall be proposed by the Management Committee and approved by the General Membership.
6.1 A detailed plan of the land area used by the Club and referred to herein as "the course" is to be maintained by the Honorary Secretary. However, the Club may own or operate other golf courses and golfing facilities in addition to or in substitution for the course.
7.1 The Clubhouse, social and sporting amenities are situated at 81 Choa Chu Kang Way, a detailed plan of which is to be maintained by the Honorary Secretary. The Club may own, take on lease or otherwise acquire such buildings and land in addition to or in substitution for the Clubhouse and other buildings and land.
8.1 The property of the Club will consist of items owned wholly by the Club on behalf of all its members. All property is to be listed in a Property Book maintained by Honorary Treasurer in support of the Club accounts. Property is to be depreciated where appropriate, in accordance with Constitution. Club property is to be adequately insured.
8.2 The Trophies listed in Annex 'B' are to be played for annually in accordance with the rules set out in the Competition Book maintained by the Club, Captain and other respective games convenors. Donors are to be consulted before disposal of any trophy which they have presented.
9.1 (a) Membership of the Club shall be open to persons of either sex over 21 years of age up to a maximum of 2100 Golfing Members and 2900 Social Members except that this maximum number shall not affect members’ eligibility in Article 9.14.2. The Club may in its Constitution provide for different categories of members and restrict the right to vote at a General Meeting to any one or more category or categories of members.
9.1(b) Each member is permitted to hold only one membership at any one time. Those holding two memberships or more will have to dispose of the memberships in excess of one within a period of time to be decided by the Management Committee.
9.2 The Management Committee shall have power at any time to restrict the number of members and from time to time rescind such restriction and for this purpose, may order that all applications for memberships be held in abeyance.
9.3 Membership Application 9.3.1 Applications shall be posted on the notice board for minimum of two weeks and the Management Committee shall consider all applications for membership and shall decide which applicants are to be admitted to the Club as member, taking into consideration any objection raised.
9.3.2 Unsuccessful applications shall be duly notified and the fee returned without the need for any reason to be stated.
9.3.3 Upon acceptance, the new member may make full use of the Club facilities subject to his maintaining his accounts in credit and paying the relevant advance dues.
9.4 Categories of Membership There shall be the following categories of members: (a) Honorary (b) Ordinary (Men) (c) Golfing Transferable (d) Lady Transferable (e) Lady (f) Corporate (g) Social Transferable (h) Term (i) Special (j) Family (k) Absent
9.5 Honorary Members 9.5.1 The following persons may be invited to become Honorary Members of the Club: (a) The President of Singapore (b) The Prime Minister of Singapore (c) The Chief Justice of Singapore
9.5.2 The Management Committee may invite other distinguished people to become Honorary Members as appropriate.
9.6 Ordinary (Men) Members 9.6.1 An Ordinary (Men) Member shall, on election and payment of all due fees and subscriptions, be entitled to use the full facilities of the Club. Ordinary (Men) Membership is open to men only. Only fully paid up Ordinary (Men) Members may vote at General Meetings or stand for election to the Management Committee.
9.6.2 An Ordinary (Men) Member may exercise the irrevocable option granted to convert to Golfing Transferable Membership after payment to the Club of 30% of the prevailing joining fee for Golfing Transferable Membership. Such option is personal to the Ordinary (Men) Member. It is not transferable, and terminates upon death of the Ordinary (Men) Member.
9.7 Golfing Transferable Members 9.7.1 Golfing Transferable Membership is open to all men and ladies over 21 years of age.
9.7.2 A Golfing Transferable Member shall have all the rights of an Ordinary (Men) Member and shall, on election and payment of all due fees and subscription, be entitled to use the full facilities of the Club. Only fully paid up Golfing Transferable Members may vote at General Meetings or stand for election to the Management Committee.
9.7.3 A Golfing Transferable Member shall have the right to transfer his/her membership to a person approved by the Management Committee after payment to the Club of 20% of the prevailing joining fee for a Golfing Transferable Membership except that when the transfer is to his/her spouse/son/daughter, the fee shall be S$1,000/-.
9.7.4 Upon the death of a Golfing Transferable Member, his/her estate shall upon discharge of all his/her liabilities to the Club, be entitled to transfer his/her membership in accordance with this Constitution. His/her spouse/child will be offered the Golfing Transferable Membership with a waiver of transfer fee. Should the deceased Golfing Transferable Member be a single, his/her membership shall be transferred to the relative nominated in his/her Will (only if this exists). The nominee will then be offered the membership with a waiver of transfer fee.
9.8 Lady Transferable Members 9.8.1 Lady Transferable Membership is open to ladies over 21 years of age. A Lady Transferable Member shall, on election and payment of all due fees and subscriptions, be entitled to use the full facilities of the Club. Subject to Article 12.2.3, only fully paid up Lady Transferable Members may vote at General Meetings or stand for election to the Management Committee.
9.8.2 A Lady Transferable Member has the right to transfer her membership to a person approved by the Management Committee after payment to the Club of a sum equivalent to $2,000/- or 20% of the prevailing joining fee for Lady Transferable Membership, whichever is greater, except that when the transfer is to her daughter, the fee shall be $1,000/-.
9.8.3 Upon the death of a Lady Transferable Member, her estate shall, upon discharge of all her liabilities to the Club, be entitled to transfer her membership in accordance with this Constitution. Her daughter will be offered the Lady Transferable Membership with a waiver of transfer fee.
9.8.4 A Lady Transferable Member may apply, subject to the approval of the Management Committee and upon payment of a conversion fee of S$32,000/- or 40% of the prevailing joining fee, whichever is higher, to convert her membership to a Golfing Transferable Membership.
9.9 Lady Members
9.9.1 Ladies may be elected as Lady Members, provided that any lady who is the wife of a resident of Singapore eligible for membership but who is not a member may be proposed for Lady Membership only by special permission of the Management Committee.
9.9.2 A Lady Member shall, on election and payment of all due fees and subscriptions, be entitled to use the full facilities of the Club. Subject to Article 12.2.3, only fully paid up Lady Members may vote at General Meetings or stand for election to the Management Committee.
9.9.3 A Lady Member, who joined by virtue of conversion from Family (Junior) Membership may exercise the irrevocable option granted to convert to Lady Transferable Membership after payment to the Club of 30% of the prevailing joining fee for Lady Transferable Membership. Such option is personal to the Lady Member. It is not transferable, and terminates upon death of the Lady Member.
9.10 Corporate Members 9.10.1 Corporations or partnerships incorporated or registered in Singapore may be elected as Corporate Members. There shall be three classes, namely :

9.10.2 Corporate Members shall, on election and payment of all due fees and subscriptions, be entitled to enjoy the privileges of an Ordinary (Men) Member through their nominees.
9.10.3 The Corporate Member shall, upon election, notify the Honorary Secretary in writing the name(s) of its nominee(s).
9.10.4 All nominees, whether original or substituted of Corporate Members, shall be subject to acceptance by the Management Committee which shall be entitled in its absolute discretion to reject any such nomination.
9.10.5 Corporate Members shall be liable for the payment for all subscriptions, registration fees and monies due on the accounts of their nominees with the Club.
9.10.6 Corporate Member may, with the approval of the Management Committee, transfer its membership to any corporation or partnership incorporated or registered in Singapore subject to the payment of 20% of the prevailing joining fee of the respective class. It may also change its nominees upon payment of 10% of the prevailing joining fee for Class C Corporate Membership.
9.12 Term Members
9.11 Social Transferable Members 9.11.1 Social Transferable Membership is open to persons of either sex over 21 years of age. A Social Transferable Member shall be entitled to use all facilities of the Club, except that he may not play golf without the appropriate qualifications and upon payment of the green fees as prescribed by the Management Committee from time to time. He shall not enter for any golf competitions (other than competitions expressly declared by the Management Committee to be open to him). Subject to Article 12.2.3, only fully paid up Social Transferable Members may vote at General Meetings or stand for election to the Management Committee.
9.11.2 A Social Transferable Member has the right to transfer his membership to a person approved by the Management Committee after payment to the Club of a sum equivalent to $2000/- or 20% of the prevailing joining fee for Social Transferable Membership, whichever is greater, except that when the transfer is to his / her spouse/son/daughter, the fee shall be S$1,000/-.
9.11.3 Upon the death of a Social Transferable Member, his estate shall, upon discharge of all his liabilities to the Club, be entitled to transfer his membership in accordance with this Constitution. His/her spouse/child will be offered the Social Transferable Membership with a waiver of transfer fee. 9.12.1 Term Members shall, on election and payment of all due fees and subscriptions, be entitled to use the full facilities of the Club.
9.12.2 The joining fee per year for Term Members shall be 20% of the prevailing joining fee for Golfing Transferable. Such membership will be on an annual review basis by the Management Committee subject to a maximum period of membership of three years.
9.12.3 Term Members are not allowed to vote or stand for election at General Meetings.
9.13 Special Member 9.13.1 Special Membership is by invitation only. It is open to : (a)Ministers whilst in their term of office. (b)Heads of tertiary institutions in the vicinity of the Club whilst in their term of office. (c)Chief of the General Staff, Chief of Staff (General Staff) and Assistant Chief of General Staff of the Singapore Armed Forces. (d)Singapore of the rank of Ambassador, High Commissioner and First Secretary.
9.13.2 Special Members shall, on election and alignment payment of all due fees and subscriptions, be entitled to use the full facilities of the Club. They are not allowed to vote or stand for election at General Meetings. Such membership is non-transferable.One Senior Representative of each accredited and consular mission in (d)
9.14 Family Members 9.14.1 Members may apply to the Club to register their spouse and unmarried children (below 21 years of age) as Family Members.
9.14.2 Upon registration, such Family Members shall, subject to prevailing Club’s Rules, be entitled to use the Club’s facilities as are accorded to the members concerned. Such entitlements given to Family Members may be withdrawn at any time by the Management Committee and shall be subject to such restrictions as the Management Committee may prescribe.
9.14.3 The privilege accorded to members under Article 9.14.1 is not applicable to Lady or Lady Transferable Member.
9.14.4 Upon reaching the age of 21 years, children of Ordinary (Men) Members and Golfing Transferable Members who have been enrolled as Family member of the Club on or before 26th April 1991 shall have the option of becoming Ordinary or Lady Transferable Members on payment of half of the respective prevailing joining fees. The option shall be exercisable only within the first six months of the child’s twenty-first year of age. The option is personal to the Family Member. It is not transferable, and terminates upon death of the Family Member.
9.14.5 Such Family Members who have been enrolled on or before 26th April 1991 may, alternatively, have the option of becoming Golfing Transferable Members upon payment of S$32,000 or 40% of the prevailing joining fee, whichever is higher. The option shall be exercisable only within the first six months of the child’s twenty-first year of age. The option is personal to the Family Member. It is not transferable, and terminates upon death of the Family Member.
9.14.6 A member who has requested the enrollment of any member of his family under the above provisions shall be responsible for the conduct of and all debts to the Club incurred by such member of his family.
9.15 Absent Members 9.15.1 Any member of the Club leaving Singapore for more than six months may apply to the Club to be placed on the list of Absent Members. He will only be placed on the list of Absent Members, provided he has paid all amounts due by him to the Club, and provided that immediately upon his return, he shall inform the Club of his return to Singapore. He shall be liable for his subscription in full for the month in which he leaves, and the month in which he returns.
9.15.2 Members with special reason(s) may also apply to be placed in the list of Absent Members. He shall furnish relevant supporting documents for Management Committee’s consideration and approval or otherwise.
9.15.3 Such member need only pay a reduced subscription of 50% of the normal applicable subscription per month during his absence.
9.16 Guests 9.16.1 Any person may be introduced by a member as a guest to the Club who will then be entitled to use all facilities of the Club, upon payment of fees as may be prescribed from time to time by the Management Committee.
9.16.2 The Management Committee may at any time withdraw the privileges of the Club from a guest. Members may not introduce as a guest any person who has been expelled from the Club or whose application for membership has been rejected.
10.1 Joining fees shall be determined by the Management Committee and shall be published in the Rules from time to time. Fees shall not be at rates lower than the previous rates set unless approved at a General Meeting.
10.2 The following subscriptions are payable in advance: Monthly Subscription Honorary Nil Ordinary (Men)/Golfing Transferable/Corporate/Term/Special $110.00 Lady/Lady Transferable $65.00 Social Transferable $55.00
10.3 After initial payment of joining fees and subscriptions, subscriptions shall be paid in advance every six months or as the Management Committee shall direct. Bills are forwarded to members at the commencement of every new period. The rate of subscriptions may only be varied at a General Meeting.
10.4 Fees and subscriptions due from members should be paid by crossed cheque or postal order made payable to “Warren Golf & Country Club” or by any other means which the Management Committee may decide to accept from time to time. Payments in cash will only be recognized if evidenced by an official receipt.
11.1 A member may resign by giving notice in writing to the Honorary Secretary and such member shall be liable, in addition to all arrears and other monies (if any) due to the Club, to pay the subscription due for the month in which such notice is given. Where notice to resign is given otherwise than in writing, confirmation by the Honorary Secretary in writing shall be deemed to be proper notice in writing from the member. 11.2 A member may only resign by giving notice in writing to the Honorary Secretary. All members wishing to terminate their memberships are required to pay any arrears in subscriptions up to and including the month of effective resignation. Where the subscriptions have been paid in advance, a refund will be made to any member whose resignation is to be effected at least one full month prior to the date up to which subscriptions have been paid; and give a written consent to the Club to transfer his/or her membership at such consideration as the Management Committee in its absolute discretion thinks fit and assign in writing to the Club the full proceeds of the transfer without the Club being liable to account to the member.
12.1 An Annual General Meeting (“AGM”) of the Club shall be held by June for the following purposes: (a) To confirm the minutes of the previous General Meetings. (b) To receive the President’s Annual Report. (c) To receive the Captain’s Annual Report. (d) To receive the Honorary Treasurer’s Annual Report, approve the Auditor’s Report and Audited Financial Statements for the preceding year and adopt the Club Budget for the ensuing year. (e) If applicable, to elect Club officials. (f) To appoint auditors for the following year. (g) To transact any business raised by the Management Committee. (h) To transact any business raised by any member who has given 7 clear days written notice to the Honorary Secretary of an intention to raise such business. 12.2.1 The President will be Chairman of General Meetings or in his absence, the Vice-President will take the chair. 12.2.2 Only Ordinary (Men), Golfing Transferable, Corporate, Lady, Lady Transferable and Social Transferable Members eligible to vote including Management Committee Members shall, subject to Article 12.2.3, be entitled to vote on matters arising.
12.2.3 For the purpose of counting votes at General Meetings, one vote of an Ordinary (Men), Golfing Transferable or Corporate Member shall be equivalent to three votes from Lady Transferable Members, and seven votes from Social Transferable and Lady Members.
12.2.4 At a General Meeting, at least 50 or 3% of total voting members (including Lady, Lady Transferable and Social Transferable Members), whichever is more, present at the commencement of the meeting shall constitute the quorum for its proceedings to be valid. At least 50% or more of the quorum shall be Golfing Transferable, Ordinary (Men) or Corporate Members.
12.2.5 If within half an hour of the time appointed for the meeting a quorum of members is not present, those members present shall be considered a quorum but they shall have no powers to alter, amend or make additions/deletions to the Constitution.
12.2.6 Subject to Article 12.2.3, all matters will be decided by the majority vote of those members present and voting at the meeting except for proposals to change the Constitution, which require a two-thirds majority of those present and voting to be carried. In the event of an equality of votes, the Chairman shall have a casting vote.
12.3 A notice stating the time and place of any General Meeting and the business to be transacted thereat shall be posted on the Club Notice Boards for at least 14 clear days before the meeting is to be held. In the case of any General Meeting at which the election of Club Officials is to be considered this notice should stipulate a date not more than seven days prior to the date of the meeting by which nominations must be given. A copy of such notice shall also be sent by post at the same time to each member, together with copies of the Annual Report and the audited accounts of the Club in the case of the AGM. Wherever possible, a full six weeks notice of the date of the AGM will be given.
12.4 The Management Committee may call a General Meeting of the Club when any question of urgent importance arises and shall be bound to do so on receiving an application for such a meeting signed by at least 50 or 3% of the total voting members whichever is more (of which 50% or more shall be Ordinary (Men), Golfing Transferable or Corporate Members), who shall state the purpose for their requiring such a meeting. At least 10 days notice of such a meeting will be given and particulars of its agenda will be posted on the Club Notice Board four days in advance of the meeting. The rules for the quorum at such a meeting shall be the same as for other General Meetings except that Rule 12.2.5 shall not apply, and if within half an hour of the time appointed for the meeting a quorum of members is not present, the requisitioned meeting shall not be held and the subject matter shall be deemed abandoned by the requisitionists.
13.1 Composition 13.1.1 The management of the Club affairs is to be conducted by the Management Committee who shall operate in accordance with the Constitution and the wishes of members as expressed at General Meetings. They shall have power to make Rules for the conduct of play, players and officials on the course or in any part of the Club premises. However, the Management Committee may not act contrary to the expressed wishes of a General Meeting and shall always remain subordinate to General Meetings. 13.1.2 (a) The Management Committee shall consist of 11 members comprising:
(i) The following elected members: President Vice-President Captain Vice-Captain Honorary Secretary Honorary Treasurer House Convenor Green Convenor Social Convenor Editor Sports Convenor
(ii) The elected members may co-opt up to two additional members into the Management Committee who shall serve only the term of the elected members. The Immediate Past President shall be invited as one of the two members. (b) The President, Vice-President, Captain, Vice-Captain, Honorary Secretary, Honorary Treasurer and Green Convenor shall be elected from among Ordinary, Transferable or Corporate Members only. The Social Convenor, House Convenor, Editor and Sports Convenor may be elected from any category of voting members.
(c) The Management Committee shall not include more than a total of three Lady, Lady Transferable and Social Transferable Members.
13.1.3 Elected members of the Management Committee serve for a term of two years between alternate AGMs. They may, however, offer themselves for re-election, except that no member of the Management Committee shall serve in the same position for more than two consecutive terms.
13.1.4 The Management Committee shall meet monthly. At all Management Committee Meetings the President shall take the Chair or, in his absence, the Vice-President. Should both be absent the Management Committee shall elect a Chairman. The Chairman of the meeting shall have a casting vote. The President may call a Management Committee Meeting at any time. At least one week’s notice of a Management Committee Meeting should normally be given.
13.1.5 At least half and in any event not less than 6 members present at the commencement of the Management Committee Meeting shall constitute a quorum.
13.2 The Management Committee is responsible for the day to day running of the Club, in particular:
13.2.1 The management and control of all Club affairs and expenditure of Club funds within the Constitution of the Club and the policy agreed at General Meetings.
13.2.2 Ensuring that the Club accounts are made up to the 31st day of December in each year. The Management Committee shall cause to be prepared, audited and printed each year an Income & Expenditure Statement and a balance sheet made up to the 31st day of December which shall be submitted to the Club at the next AGM. A copy of the same shall be sent to every voting member together with the notice convening such meeting.
13.2.3 The programming, organisation and control of all Club activities.
13.2.4 The election of new members.
13.2.5 The engagement, control and dismissal of all Club staff and servants and for specifying their duties.
13.2.6 The management and maintenance of the Clubhouse, the course and all Club property.
13.2.7 The discipline of Club members (including suspension) and dealing with any infringement by members of the Constitution or Rules which may be brought to their notice.
13.2.8 Exercising on behalf of all members any powers specially conferred upon them either collectively or individually in the Club Constitution.
13.2.9 The appointment of a Disciplinary Inquiry Committee comprising of not less than 3 members and not more than 5 members, 2 of whom must be Management Committee members.
13.2.10 Deciding all questions arising out of or not covered by the Constitution.
13.2.11 Recommendation of amendments to the Constitution.
13.2.12 Establishing and amending the Rules of the Club.
13.2.13 The Management Committee may from time to time, for the purpose of fulfilling the objects of the Club, raise or borrow such sums of money as may approved by members at a general meeting and to secure the same or the repayment or performance of any debt, liability, contract, guarantee or other engagement incurred or to be entered into the Club in any way and in particular by charging the Club members’ chit accounts (both present and future), all in such form and manner and upon such terms and conditions in all respects as it deems fit.
14.1 Election of Office Bearers
14.1.1 Any voting member of the Club may nominate (as proposer or seconder) a candidate for election or re-election to any of the appropriate appointments as Club Officials. Nominations shall be made in writing and inserted in the box provided at the Clubhouse for the purpose. Nominations must be given by the stipulated date. Late nominations shall not be accepted. Members proposing and seconding any candidate for election or re-election shall obtain the written consent of the candidate that he is prepared to accept the Office for which he is nominated and shall attach the same to their nomination. A nomination submitted without the candidate’s written consent attached shall be invalid.
14.1.2 Candidates who have been suspended for a period of six months or more under Article 20.1 and whose last day of suspension is within 24 months prior to the election date shall not be eligible to stand for election or re-election to any of the appropriate appointments as Club Officials.
14.1.3 The names of all candidates shall be submitted to the President prior to the AGM. The President will put forward the names of all nominees considered suitable to take office to the AGM for election by the meeting. Names of candidates for office shall be proposed and seconded, and election will follow on a simple majority vote of the members present and voting.
14.2 Responsibilities and Duties of Club Officials 14.2.1 President The President’s duties are: (a) To oversee the general conduct of the affairs of the Club. (b) To preside as chairman at all General Meetings and receive members’ nominations for the various offices in the event of an election of Club office bearers (c) To call for a General Meeting or a meeting of the Management Committee when he deems it necessary in the interests of the Club in accordance with the Constitution.
14.2.2 Vice-President The Vice-President’s duties are: (a) To assist the President in his duties with the powers of the President vested in him in the absence of the President. (b) To chair the Membership & Constitution Sub-Committee, and address all matters relating to the portfolio. (c) To take on any other duties as may be assigned by the Management Committee.
14.2.3 Club Captain The Captain’s duties are: (a) Be the public representative of the Club in all matters relating to the game of golf. (b) To form and chair a sub-committee comprising the Captain, Vice-Captain, Green Convenor, Lady Captain and other members who may be co-opted from the general membership, and address all matters relating to the game of golf. He will assign designated duties to members of his sub-committee as he deems fit (c) To take on any other duties as may be assigned by the Management Committee.
14.2.4 Vice-Captain The Vice-Captain’s duties are: (a) To assist the Captain in his duties, in particular matters relating to the issuance and maintenance of handicaps as well as the Driving Range, with the powers of the Captain vested in him in the absence of the Captain. (b) To take on any other duties as may be assigned by the Management Committee.
14.2.5 Honorary Secretary The Honorary Secretary’s duties are: (a) To keep and be responsible for all records (except financial) of the Club and shall keep full and correct minutes of the General Meetings and Management Committee Meetings. (b) To maintain an up-to-date Register of Members. (c) To be responsible for all such things and acts as are required to be done by a club honorary secretary under existing Constitution and rules of the Club for the time being in force. (d) To chair the Establishment Sub-Committee, and address all matters relating to the portfolio. (e) To take on any other duties as may be assigned by the Management Committee.
14.2.6 Honorary Treasurer The Honorary Treasurer’s duties are: (a) To direct the finance function of the Club and be responsible for the various administrative accounting and financial procedures the Club may have, and advising the Management Committee of the financial position of the Club. All cheques will be signed by at least two of the following persons: i) President ii) Vice-President iii) Honorary Secretary iv) Honorary Treasurer v) General Manager (b) To direct the preparation and submission of the Club accounts for auditing annually and the preparation and presentation of the annual budget. (c) To chair the Finance Sub-Committee, and address all matters relating to the portfolio. (d) To be responsible for all such things and acts as are required to be done by a club honorary treasurer under existing Constitution and rules of the Club for the time being in force. (e) To take on any other duties as may be assigned by the Management Committee. 14.2.7 House Convenor The House Convenor’s duties are: (a) To maintain the Club building and premises in a satisfactory condition befitting the image of the Club and to improve where deemed necessary, as well as to keep and be responsible for all relevant and corresponding documents. (b) To supervise all contractual and performance matters for Club contracts related to his duty listed in Article 14.2.7(a). (c) To form and chair the House Sub-Committee, and address all matters relating to the portfolio. (d) To take on any other duties as may be assigned by the Management Committee.The Green Convenor’s duties are: (a) To be responsible for all matters relating to the maintenance of the golf course in its immaculate condition befitting the image of the Club, and improvement of the golf course where deemed necessary. (b) To form and chair the Green Sub-Committee, and address all matters relating to the portfolio. (c) To take on any other duties as may be assigned by the Management Committee.The Social Convenor’s duties are: (a) To be responsible for all social activities and direct the organising of these activities for members, with a view to increase vibrancy at the Club and foster a friendly atmosphere in the Club. (b) To supervise the operations of the Food & Beverage outlets, ensuring quality service, food and pricing for patrons and all other matters relating to Food & Beverage. (c) To form and chair the Social Sub-Committee, and address the matters relating to the portfolio. (d) To take on any other duties as may be assigned by the Management Committee.
14.2.10 Editor The Editor’s duties are: (a) To supervise the production, distribution and all other related matters to the Club magazine with a view to update the membership on Club activities and news. (b) To assist other office bearers in the production of the various Club publications. (c) To direct the maintenance and content management of the Club website. (d) To form and chair the Editorial Sub-Committee, and address the matters relating to the portfolio. (e) To take on any other duties as may be assigned by the Management Committee.
14.2.11 Sports Convenor The Sports Convenor’s duties are: (a) To be responsible for all sports activities and direct the organising of these activities for members, with a view to raise the profile of sports at the Club and to increase usage of the various sports facilities. (b) To form and chair the Sports Sub-Committee, and address the matters relating to the portfolio. (c) To take on any other duties as may be assigned by the Management Committee.
14.3 General 14.3.1 Any member of the Management Committee absenting himself from three consecutive meetings without satisfactory explanation to the Management Committee, shall cease to be a member thereof, but leave of absence for a period not exceeding six months may be granted on application. 14.3.2 Vacancies may be filled at the discretion of the Management Committee. 14.3.3 In the event of an elected Club Official being unable to complete his term in office, the Management Committee is empowered to appoint a successor to that Office.
15.1 Duties and Privileges 15.1.1 It is incumbent upon all Club members to take an interest in the affairs of the Club. Members are kept informed of current business and activities through the media of Minutes of the General Meetings and Newsletter, which are maintained at the Clubhouse, and by notices displayed on the Club Notice Board. 15.1.2 Members are required to be familiar with the Constitution and Rules of the Club and to comply with them in every respect. Ignorance of the Constitution and Rules is not accepted by the Management Committee as an excuse of non-compliance with them and the Management Committee is empowered to terminate or suspend membership for serious breaches of the Constitution and Rules which come to the notice of the Management Committee.
15.1.3 A member wishing to make a complaint about any matter should write to the Honorary Secretary. Under no circumstances are Club servants to be reprimanded by a member who is not a Club Official.
15.1.4 Club members are to ensure that they are familiar with the Rules of Golf, etiquette and the procedure on the course as well as Rules with respect to other Club facilities. Members are to ensure that their own behaviour and that of their guests is above reproach at all times both on the course and in the Clubhouse.
15.1.5 All members shall inform the Honorary Secretary in writing of any change of address. A notice or bill sent to a member by post to his address in the Register of Members shall be deemed to have been duly delivered 72 hours after 1600 hours on the day of posting.
16.1 The accounts of the Club shall be audited annually by an approved firm of accountants to be appointed at the AGM and no partners or employees of this firm shall be eligible to sit on the Management Committee or the Finance Sub-committee.
17.1 The Trustee of the Club shall be a Singapore registered trust company that has been appointed by the members at a General Meeting.
17.2 All immovable property and investments, except for investments in Singapore government securities, shall be vested in the Trustee of the Club.
17.3 The Trustee of the Club shall hold, sell, transfer, lease, mortgage, charge or otherwise dispose of, encumber, or deal with the immovable property and investments (except for investments in Singapore government securities) of the Club in such manner as the Management Committee shall from time to time direct.
17.4 The Management Committee may pay to the Trustee of the Club as remuneration such sum as they shall from time to time determine.
17.5 Notwithstanding the above, the Club shall appoint a minimum of three Trustees from amongst the voting members for the purpose of executing the land lease and related documents on the existing Choa Chu Kang Way premises and any other future locations.
18.1 The Management Committee shall ensure that all buildings, contents, equipment, trophies and other Club property are fully covered by insurance and that any other policies required to safeguard the Club against golfing claims are taken out and maintained.
18.2 The Management Committee shall ensure that regular checks and periodic valuation of Club property are carried out. Depreciation rates are to be set and entered in the Property Book.
18.3 Any member causing loss of or damage to Club property shall be liable to make good such loss or damage. All damage caused to Club property by a member, through whatever cause, shall be reported by the member to the Club as soon as possible after the occurrence.
18.4 No member or guest shall take away, or permit to be taken away, under any pretext, any Club property of any kind without the express consent of the Management Committee.
19.1 The rules of the game of golf shall be those currently adopted by the Royal and Ancient Golf Club of St. Andrews, and the local rules of the Warren Golf & Country Club as published by the Management Committee from time to time.
20.1 If any member shall, in the opinion of the Management Committee act in any way prejudicial to the interests of the Club or its members thereof or break any Rule or Article of this Constitution, the Management Committee shall consider the conduct of such member at a meeting. If at such meeting it is considered that there is sufficient evidence to justify calling on the member to answer any charge made against him, a not less than seven days’ notice in writing shall be given to such member calling on him to attend a meeting before the Disciplinary Inquiry Committee for the purpose of answering such charges. At such Disciplinary Inquiry Committee meeting, the member concerned shall be informed of the charges made against him and shall have the right to be heard in his own defence. If such member fails to attend the Disciplinary Inquiry Committee meeting in answer to the notice calling upon him to do so, the Disciplinary Inquiry Committee may nevertheless proceed in his absence. The Disciplinary Inquiry Committee, at the conclusion of such hearing shall report to the Management Committee its findings and recommendations. The Management Committee may, after considering the findings and recommendations of the Disciplinary Inquiry Committee, expel the member if three-fifths of the members of the Management Committee present at the meeting vote for the expulsion of the said member, he shall immediately cease to be a member of the Club. Other than expulsion, the Management Committee may suspend the member or impose any other lesser penalty. Notice thereof shall be sent to such member.
20.2 A person expelled under Article 20 shall not thereafter be eligible as a candidate for membership of the Club.
20.3 A member on ceasing to be a member shall forfeit all rights to the Club, its property and its funds.
20.4 The account of each member of the Club shall be kept as directed by the Management Committee.
20.5 Each member of the Club shall keep his account in credit.
20.6 No member who has been notified that his account is in debit can enter for or take part in any Club Competition or in any Inter-Club Match or vote at any meeting so long as his account is in debit.
20.7 If any member fails to place his account in credit within seven days after notice from the Honorary Secretary or the Honorary Treasurer, the Honorary Secretary or the Honorary Treasurer shall give him a notice stating that unless his account be placed in credit within a further period of seven days his name will be posted on the Club Notice Board as a Defaulter and his rights and privileges as a member are suspended until such arrears are made good.
20.8 If the member fails to place his account in credit after his name has been so posted as a Defaulter the Management Committee shall strike off his name from the Register of Members and he shall thereupon cease to be a member but without prejudice to the right of the Club to recover all monies due by him to the Club.
20.9 Any member whose name has been struck off from the register of members shall be given three months from date of strike off to apply for reinstatement of membership. The member shall furnish the Management Committee a satisfactory explanation, make payment of all arrears and any other fees which the Management Committee may impose.
20.10 If after three months from date of cessation of membership (or in the case of a struck off member who has not applied for reinstatement after three months), the Management Committee shall have the right to transfer his membership to recover all debts outstanding, at such consideration as the Management Committee in its absolute discretion deems fit. All expenses incurred by the Club in connection with the transfer and all monies due to the Club, shall be satisfied from the proceeds of the transfer. The balance of the proceeds, if any, shall be returned to the struck off member. Conversely, any balance due by him still outstanding shall be recoverable by the Club as debt due from the struck off member.
20.11 Where it is provided under this Constitution that upon the death of a member, the deceased member’s estate shall, upon discharge of all the deceased member’s liabilities to the Club, be entitled to transfer the deceased member’s membership in accordance with this Constitution, the deceased member’s legal representative shall, within 36 months from the date of death of the deceased member, produce the original or certified true copy of the Grant of Probate/or Grant of Letters of Administration to the Club and transfer the membership in accordance with the Constitution, failing which the Management Committee may transfer the membership to recover all debts outstanding, at such consideration as the Management Committee in its absolute discretion think fit. ll expenses incurred by the Club in connection with the transfer and all monies due to the Club, shall be satisfied from the proceeds of the transfer. The balance of the proceeds, if any, shall be returned to the deceased’s estate. Conversely, any balance due by the estate still outstanding shall be recoverable by the Club as debt due from the estate.
21.1 No form of paper, notice or poster except for Club notices shall be placed either on Club Notice Boards or in the Clubhouse by any member unless he has permission from the Honorary Secretary.
22.1 Members and their guests take part in Club activities and use Club facilities entirely at their own risk. The Club shall not be responsible for the death of or injury to any member or guest caused by direct or indirect participation in Club activities or otherwise by any means whatsoever. Neither shall the Club be responsible for any loss or damage to members’ or guests’ kit, equipment or personal effects in Club premises or on the course. The relevant member shall indemnify the Club from all actions, claims, costs or demands made against the Club by any person, firm or company arising out of or from any death, personal injury, damage or loss caused by that member or his guest in using the facilities of the Club. All members are very strongly advised to effect proper insurance and indemnity cover. 22.2 Cars or other means of transport may be parked by members or guests in the car park provided but such parking shall be entirely at the owners’ risks.
The following prohibitions are mandatory by Singapore Law: 23.1 Gambling whether for stakes or not is forbidden on the Club’s premises. The introduction of materials for gambling or taking of drugs and of bad characters into the premises is prohibited. 23.2 The funds of the Club shall not be used to pay the fines of members who have been convicted in court. 23.3 The Club shall not attempt to restrict or in any other manner interfere with trade or price or engage in any written law relating to trade unions for the time being in force in Singapore. 23.4 Except when the permit or licence is first obtained from the relevant authorities, the Club shall not hold any lottery, whether confined to its members or not, in name of the Club or its office-bearers, Management Committee or members. 23.5 The Club shall not indulge in any political activity or allow its funds and/or premises to be used for political purposes. 23.6 The Club shall not raise funds from the public for whatever purpose without the prior written sanction of the relevant authorities. 23.7 However, the above prohibitions will also include any others that may be prescribed by the appropriate law as published in the Gazette.
24.1 No alterations or additions to the Constitution shall be made except by a two-thirds majority vote at a General Meeting, and they shall not come into force without the prior sanction of the Registrar of Societies.
25.1 In matters of ambiguity concerning the Constitution, the ruling of the Management Committee shall prevail unless overturned by a simple majority at a General Meeting.
26.1 The Club may only be dissolved with the consent of not less than 3/5 of members (of which at least 50% of those voting shall be Golfing Transferable, Ordinary (Men) or Corporate Members) of the Club eligible to vote expressed either in person or by proxy at the General Meeting convened for the purpose or by postal vote. In the event of the Club being dissolved as provided above all debts and liabilities legally incurred on behalf of the Club shall be fully discharged and the remaining funds shall be donated to approved charitable organisations in Singapore. 26.2 Notice of dissolution shall be given within seven days of the dissolution to the Registrar of Societies.
